These Terms of Service (“Terms”) govern your access to and use of the MIBEC.AI website, products, services, AI assistant, communication tools, setup services, subscriptions, and related offerings (collectively, the “Services”).

By purchasing, subscribing to, accessing, or using the Services, you agree to these Terms. If you are using the Services on behalf of a business or organization, you represent that you have authority to bind that business or organization to these Terms.

1. What MIBEC.AI Provides

MIBEC.AI provides AI-powered communication and automation services for small businesses, including an AI assistant built into a business phone number. Depending on your plan and configuration, the Services may include:

  • A dedicated business phone number

  • Missed-call text-back

  • Voicemail capture and transcription

  • SMS-based customer conversations

  • “Text HELLO” opt-in flows

  • AI Q&A based on approved business information

  • Lead capture

  • Appointment scheduling

  • Business Info Packs

  • Tune-Ups and related support services

The Services are designed to help businesses respond faster to inquiries, capture lead details, and improve customer engagement. The Services do not guarantee any specific number of leads, appointments, sales, closings, jobs, revenue, rankings, reviews, or business outcomes.

2. Demo and Website Use

MIBEC.AI may provide demo experiences, including SMS-based demos, to show how the Services work. Demo experiences are for informational purposes only. Demo assistants cannot activate phone numbers, create accounts, provision services, change settings, purchase services, bill customers, or perform real setup work unless expressly stated and confirmed by MIBEC.AI.

Do not submit sensitive, confidential, regulated, or personal information through a demo experience.

3. Plans, Setup Fees, Add-Ons, and Subscriptions

MIBEC.AI offers plan-based services that may include a one-time setup fee and a recurring monthly subscription.

Setup Fees

A setup fee may be charged before configuration begins. The setup fee covers onboarding and configuration work, which may include phone number provisioning, messaging setup, AI assistant configuration, Business Info Pack setup, call flow setup, testing, and related administrative work.

Add-Ons

You may purchase optional add-ons, such as Business Info Pack creation, enhanced Business Info Pack creation, additional Business Info Packs, Tune-Ups, or other services made available at checkout or separately.

Monthly Subscriptions

After setup is complete or ready for activation, MIBEC.AI may send you a secure payment link to activate your monthly subscription. Monthly subscription fees are billed in advance and renew monthly unless cancelled as described in these Terms.

Your plan may include a monthly conversation allowance. Additional conversations may be billed at the published overage rate or may require a plan upgrade, depending on your plan and current pricing.

4. Payment

You agree to pay all fees associated with the plan, setup services, add-ons, subscriptions, and usage you select.

Payments may be processed by third-party payment processors, including Stripe and/or payment tools provided through Squarespace. MIBEC.AI does not directly store full credit card numbers.

You authorize MIBEC.AI and its payment processors to charge your selected payment method for applicable setup fees, add-ons, subscription fees, taxes, and any applicable overages or additional charges.

You are responsible for ensuring your billing information is accurate and current.

5. Refunds

Setup Fee Refunds

A one-time setup fee may be refunded if you request a refund before MIBEC.AI begins setup work.

Setup work may include, but is not limited to:

  • Reviewing your onboarding information

  • Provisioning or reserving a phone number

  • Beginning messaging or registration work

  • Building or reviewing a Business Info Pack

  • Configuring call flows, AI instructions, tools, or automations

  • Testing the assistant or related workflows

Once setup work has begun, setup fees are generally non-refundable unless MIBEC.AI determines otherwise in its sole discretion.

Add-On Refunds

Add-on purchases may be refundable only if cancellation is requested before work on the add-on begins. Once work has begun, add-on fees are generally non-refundable unless MIBEC.AI determines otherwise in its sole discretion.

Subscription Refunds

Subscription fees are billed monthly in advance. Subscriptions may be cancelled at any time as described below, but cancellation takes effect at the end of the current monthly billing term. MIBEC.AI does not provide prorated refunds for partial monthly terms unless required by law or agreed by MIBEC.AI in writing.

6. Cancellation

You may cancel your monthly subscription at any time by contacting:

Unless otherwise agreed in writing, cancellation will take effect at the end of your current monthly billing term. You will continue to have access to the subscribed Services through the end of that term.

After cancellation, your assistant, assigned number, messaging workflows, AI configuration, and related services may be disabled, released, deleted, or made inaccessible. MIBEC.AI is not responsible for retaining phone numbers, message history, assistant configurations, Business Info Packs, or related service data after cancellation unless required by law or separately agreed in writing.

7. Customer Responsibilities

You are responsible for:

  • Providing accurate business information

  • Reviewing and approving Business Info Packs and assistant behavior

  • Ensuring your business information, pricing, policies, hours, service areas, and availability remain current

  • Obtaining any required permissions, consents, or approvals from your customers

  • Using the Services in compliance with applicable laws, regulations, industry rules, and platform requirements

  • Monitoring customer interactions and following up where appropriate

  • Ensuring that use of the Services is appropriate for your business, industry, and customer base

You are responsible for the accuracy, legality, and appropriateness of all information you provide to MIBEC.AI.

8. SMS, Voice, and Messaging Compliance

The Services may include SMS, phone calls, voicemail, transcription, and related messaging workflows.

You agree not to use the Services to send unlawful, deceptive, abusive, harassing, discriminatory, spam, or prohibited messages.

You are responsible for ensuring that your use of SMS and phone-based communications complies with applicable consent, opt-in, opt-out, telemarketing, privacy, advertising, and industry requirements.

MIBEC.AI may provide tools or workflows to support opt-in, opt-out, STOP/HELP handling, and related messaging practices, but you remain responsible for your business’s legal compliance and customer communication practices.

MIBEC.AI may suspend or limit Services if messaging carriers, service providers, regulators, or third-party platforms reject, block, flag, suspend, or restrict your messaging activity.

9. A2P, Messaging Registration, and Carrier Requirements

Certain SMS messaging may require registration, approval, vetting, or compliance review by carriers, messaging providers, or industry registries before messaging can be fully activated.

Typical setup timing may be approximately 5–7 business days, but approval timelines can vary and may take longer depending on carrier review, messaging provider requirements, registration volume, customer-provided information, use case, or requested revisions. MIBEC.AI does not guarantee a specific approval or activation timeline.

You agree to provide accurate and complete information required for messaging registration or related compliance processes. Delays, rejections, requests for additional information, filtering, message blocking, or registration failures caused by incomplete or inaccurate information, third-party review, carrier requirements, regulatory changes, or provider decisions are outside MIBEC.AI’s control.

10. AI Assistant Limitations

The AI assistant may generate responses based on Business Info Packs, website content, FAQs, documents, instructions, and other information provided or approved by you.

AI-generated responses may be incomplete, inaccurate, delayed, or inappropriate in some situations. You are responsible for reviewing the assistant’s configuration and determining whether the Services are appropriate for your business.

The Services should not be used to provide legal, medical, financial, emergency, safety-critical, or other regulated advice unless separately agreed in writing and supported by appropriate compliance controls.

You should not rely on the AI assistant as the sole method of communication for emergencies, urgent matters, safety issues, or legally required notices.

11. Business Info Packs and Customer Content

“Business Info Packs” are collections of business information used by the AI assistant to answer questions and guide conversations. Business Info Packs may include services, hours, service areas, pricing guidance, policies, FAQs, tone preferences, intake questions, scheduling instructions, and other business details.

You grant MIBEC.AI permission to use the information you provide as necessary to configure, operate, maintain, test, and improve your assistant and related Services.

You represent that you have all rights necessary to provide this information to MIBEC.AI and that it does not infringe any third-party rights or violate applicable law.

12. Third-Party Services

The Services may rely on third-party providers, including providers for website hosting, payment processing, telephony, SMS, voicemail, transcription, AI models, email, analytics, and other infrastructure.

MIBEC.AI is not responsible for failures, delays, outages, changes, limitations, or data practices of third-party providers. Your use of third-party services may also be subject to their terms and policies.

13. Service Availability

MIBEC.AI aims to provide reliable Services but does not guarantee uninterrupted, error-free, or delay-free operation. The Services may be unavailable or limited due to maintenance, outages, third-party provider issues, carrier filtering, internet or telephony failures, security incidents, or other events outside MIBEC.AI’s control.

14. Acceptable Use

You may not use the Services to:

  • Violate applicable law

  • Send spam, phishing, deceptive, or unlawful communications

  • Harass, threaten, discriminate, or abuse others

  • Collect sensitive information without proper consent and safeguards

  • Impersonate others

  • Misrepresent your business or offerings

  • Interfere with or disrupt the Services

  • Reverse engineer, copy, resell, or misuse the Services

  • Use the Services for emergency dispatch or safety-critical communications

MIBEC.AI may suspend or terminate access if it believes your use violates these Terms, applicable law, carrier requirements, platform policies, or the rights of others.

15. Intellectual Property

MIBEC.AI owns or licenses the website, software, workflows, prompts, configurations, documentation, designs, branding, processes, and other materials used to provide the Services.

You retain ownership of your business information and content that you provide to MIBEC.AI, subject to the rights granted in these Terms.

You may not copy, reproduce, distribute, modify, resell, or create derivative works based on MIBEC.AI’s Services, software, prompts, processes, workflows, or materials without written permission.

16. Confidentiality

Each party may receive non-public business, technical, operational, customer, or financial information from the other party. Each party agrees to use reasonable care to protect confidential information and to use it only as necessary to perform or receive the Services.

Confidential information does not include information that is publicly available, independently developed, lawfully received from a third party, or required to be disclosed by law.

17. Disclaimers

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, MIBEC.AI disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.

MIBEC.AI does not guarantee that the Services will produce any particular business result, prevent all missed leads, capture every customer inquiry, book appointments, generate revenue, or operate without errors or interruptions.

18. Limitation of Liability

To the maximum extent permitted by law, MIBEC.AI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, lost data, customer disputes, messaging failures, blocked messages, missed calls, or service interruptions.

To the maximum extent permitted by law, MIBEC.AI’s total liability for any claim related to the Services will not exceed the amount you paid to MIBEC.AI for the Services giving rise to the claim during the three months before the event giving rise to liability.

19. Indemnification

You agree to defend, indemnify, and hold harmless MIBEC.AI from and against claims, damages, liabilities, losses, costs, and expenses arising from or related to:

  • Your use of the Services

  • Your business communications

  • Your customer data or business information

  • Your violation of these Terms

  • Your violation of applicable law

  • Your failure to obtain required consents or approvals

  • Claims made by your customers or end users relating to your business, products, services, communications, or use of the Services

20. Changes to the Services or Terms

MIBEC.AI may update the Services, pricing, features, plans, limits, and these Terms from time to time. Updated Terms will be posted on the website with an updated effective date. Continued use of the Services after changes become effective means you accept the updated Terms.

21. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles.

Any disputes will be resolved in the state or federal courts located in Morris County, New Jersey, unless otherwise required by applicable law.
